Seller Agreement

Version 2026-10-20 · Effective October 20, 2026 · Resilient Spirits LLC dba DISTRYB

This Seller Agreement applies to every licensed business that sells on DISTRYB. It sets out your licensing, compliance, tax, payment, chargeback, and insurance responsibilities as a seller. An owner or manager must accept it before your organization can sell.

1. Introduction & Parties

This Seller Agreement ("Agreement") is entered into between Resilient Spirits LLC dba DISTRYB ("DISTRYB," "we," "us," or "our") and the organization that accepts it ("Seller," "you," or "your"). It supplements, and is in addition to, the DISTRYB Terms of Service and Privacy Policy; if there is a conflict on a selling matter, this Agreement controls. You must accept this Agreement before selling on the platform, and only an authorized signer of your organization (an owner or manager) may accept it. Accepting this Agreement, or selling through the platform, binds your organization to these terms.

2. Eligibility, Licensing & Representations

You represent and warrant that your organization holds, and will maintain in good standing throughout its use of the platform, all state licenses and applicable federal (TTB) permits required for the products you sell and the places you sell them. You will keep this information current and accurate, and you will notify DISTRYB promptly of any lapse, suspension, revocation, or material change to any license or permit. DISTRYB may verify your licensing against public and official records and may suspend or terminate your ability to sell if a license cannot be verified, lapses, or is revoked.

3. Seller of Record; Three-Tier & State Compliance

You (or a licensed partner you designate and who is disclosed on the platform) are the seller of record for your sales, and you are solely responsible for complying with all applicable beverage-alcohol laws, including three-tier requirements and per-state product registrations. You will sell only where you are licensed and where the product is permitted. Direct-to-consumer sales are made to consumers within your own state by in-state pickup or local delivery; you will not use the platform to ship spirits across state lines. Orders initiated through any channel — your storefront, the Bottl.Service marketplace, or an AI agent or other automated assistant acting for a consumer — are your sales under this Agreement and are subject to the same obligations; DISTRYB and any such channel merely transmit the order, while the sale, the age verification, and the delivery remain yours. DISTRYB is a technology provider and is not your licensee or the seller of record for your sales unless expressly agreed in writing.

4. Taxes

You are responsible for determining, collecting, reporting, and remitting all taxes applicable to your sales. DISTRYB's tax and compliance tools — including calculation and filing helpers such as the Illinois RL-26 — operate at the state level. You remain solely responsible for any additional local obligations, including city and county taxes, permits, and regulations that apply to your business, and for confirming that the platform's calculations match your actual obligations. These tools assist you; they do not transfer your tax or filing obligations to DISTRYB.

5. Age Verification & Responsible Sale

You will ensure that every sale and delivery of alcoholic beverages is made only to a person who is 21 years of age or older, using identification and age-verification measures and obtaining an adult signature where required by applicable law. You will not sell or deliver to any person who is, or appears to be, intoxicated. You are responsible for the acts and omissions of your own staff, drivers, couriers, and fulfillment providers, and you will maintain records sufficient to demonstrate compliance. Where the platform captures age-verification or delivery-signature evidence for your orders, you will use those features accurately. DISTRYB's age-verification tools — including any mobile-ID (mDL) or identity-verification features — assist you; they do not transfer your age-verification obligation to DISTRYB and do not replace your duty to check a valid physical or mobile ID and to obtain any required adult signature at the point of delivery or handoff. You remain solely responsible for verifying age and for refusing sale or delivery to any underage or apparently intoxicated person.

6. Payments, Payouts & Fees

Payments and payouts are processed through Stripe, including a Stripe Connect (Express) connected account that you set up and control. By selling on the platform, you agree to Stripe's applicable terms and Connected Account Agreement. For your sales, your connected account is the merchant of record and the settlement account. DISTRYB collects a platform/marketplace fee on transactions and any applicable subscription fees as described in your plan and at checkout, which may change on notice.

7. Chargebacks, Refunds & Reserves

You bear full responsibility for chargebacks, payment disputes, and refunds arising from your sales, and you will indemnify DISTRYB for any losses, fees, or costs it incurs in connection with them. To manage this risk, DISTRYB (and Stripe) may withhold or offset amounts from your payouts and future balances, require or hold reserves, delay payouts, and recover any negative balance on your connected account. You will cooperate promptly in responding to disputes, including by providing order, age-verification, delivery, and tracking evidence.

8. Insurance

You will maintain, at your own expense, commercial general liability insurance and — because you sell and/or deliver alcoholic beverages — liquor liability ("dram shop") insurance, each with a limit of not less than one million U.S. dollars ($1,000,000) per occurrence (or higher where required by applicable law). You will name Resilient Spirits LLC dba DISTRYB as an additional insured on your liquor liability (dram shop) and commercial general liability policies, and your coverage will be primary and non-contributory with respect to claims arising from your sales or deliveries. You will provide a certificate of insurance evidencing this status and your coverage amounts upon onboarding, upon each renewal, and upon request, and you will not materially reduce or cancel that coverage without prior notice to DISTRYB. DISTRYB's own insurance does not cover your business, products, or deliveries.

9. Product Content & Listings

You are responsible for the accuracy and legality of everything you publish, including product descriptions, pricing, labels, images, and any federal label (COLA) or state-registration data. You grant DISTRYB a non-exclusive license to host, display, and distribute your listings in order to operate the platform and provide the service to you. You will not list products that are misbranded, prohibited, or that you are not licensed and registered to sell.

10. Data & Confidentiality

Each party will protect the other's confidential information. DISTRYB does not share your costs, margins, customers, pricing you have not published, stock quantities, or sales figures with other businesses on the platform. Other businesses see what you choose to publish, and the brand-network information described in Section 10A. DISTRYB processes your data as described in the Privacy Policy. You will not misuse any platform data, and you will access only the accounts and data that belong to you.

10A. Brand Network

Part of the DISTRYB service is connecting you with the brands you carry. When a product in your inventory on DISTRYB belongs to a brand whose owner is on the platform, DISTRYB may show that brand owner that your business carries it — including your business name, city and state, premise type, which of their products you carry, and whether they are listed for sale — and may notify the brand owner when you begin carrying their brand. Brand owners may contact you through DISTRYB to support your sales, for example with recipes, training, promotions, tastings and point-of-sale materials, including where your messaging settings otherwise limit messages to businesses you trade with. Brand owners may not use this information to contact your customers, to set or enforce your resale prices, or for any purpose prohibited by law, and DISTRYB may suspend a brand owner who misuses it. This is a feature of the service, not a sale of your data.

11. Suspension & Termination

DISTRYB may suspend or terminate your ability to sell, in whole or in part, for a lapsed or invalid license, non-compliance with law or this Agreement, fraud, chargeback or dispute abuse, or any other breach. You may stop selling at any time. Obligations that by their nature should survive — including payment, chargeback and refund liability, tax obligations, indemnification, and the limitations below — survive termination.

12. Disclaimers & Limitation of Liability

The platform is provided "as is" and "as available" without warranties of any kind. DISTRYB operates solely as a technology platform and does not manufacture, distribute, sell, or deliver beverage alcohol, and assumes no liability for the acts or omissions of any retailer, distributor, producer, courier, or driver, for any failure to verify the age or intoxication level of a consumer, for personal injury, property damage, or death resulting from the purchase, delivery, or consumption of alcohol, or for violations of alcohol-beverage-control laws by platform users. To the maximum extent permitted by law, DISTRYB will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, and its total aggregate liability will not exceed the greater of the fees you paid DISTRYB for the platform in the twelve (12) months preceding the event giving rise to the claim, or one hundred U.S. dollars ($100). These limitations apply regardless of the theory of liability and even if a remedy fails of its essential purpose. See the Terms of Service for the full liability terms.

13. Indemnification

You will indemnify, defend, and hold harmless Resilient Spirits LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or related to your products, your sales and deliveries, your licensing, compliance, or tax failures, your chargebacks and refunds, or your breach of this Agreement or any applicable law.

14. Governing Law

This Agreement is governed by the laws of the State of Illinois, without regard to its conflict-of-law provisions. Any dispute arising out of or relating to this Agreement will be resolved exclusively in the state or federal courts located in Cook County, Illinois.

15. Changes to This Agreement

We may update this Agreement from time to time. When we make material changes, we will post the new version with a new version identifier, which may require you to accept again before continuing to sell. Your continued selling after a change takes effect constitutes acceptance of the updated Agreement.
