1. Acceptance of Terms

By accessing or using the DISTRYB platform (distryb.com), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you may not use the platform. DISTRYB is operated by Resilient Spirits LLC dba DISTRYB.

2. Eligibility & Licensing

DISTRYB is for licensed beverage businesses and their authorized personnel, who must be 21 or older. Any organization using the platform for wholesale distribution, retail purchase, or direct-to-consumer sales must hold all valid state liquor licenses and applicable federal (TTB) permits and maintain them throughout its use of the service. You represent and warrant that you hold all required licenses and permits. DISTRYB may suspend or terminate accounts that cannot verify valid licensing.

3. Use of the Platform

DISTRYB is an operating system for beverage businesses. It supports wholesale distribution between licensed tiers and, where a business is properly licensed, direct-to-consumer sales of its own inventory by in-state pickup or local delivery — it does not enable cross-state shipping of spirits. You agree to use the platform only for lawful purposes and in accordance with applicable state and federal beverage-alcohol regulations, and you are solely responsible for ensuring your use complies with all liquor laws in the jurisdictions where you operate.

4. Account Registration & Team

To access the platform you must register an organization and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account, including that of the team members you invite. Notify us immediately at accounts@distryb.com if you suspect unauthorized use.

5. Compliance & Seller of Record

You are responsible for your own regulatory compliance, including three-tier requirements, per-state product registrations, seller-of-record obligations, and the collection, reporting, and remittance of applicable taxes. DISTRYB provides tools — including business (KYB) verification, state and product gating, and tax calculation and filing helpers such as the Illinois RL-26 — that operate at the state level. You remain solely responsible for any additional local obligations, including city and county taxes, permits, and regulations that apply to your business, and for confirming that the platform's calculations match your obligations. These tools assist you and do not transfer your legal obligations to us. DISTRYB is not your licensee and is not the seller of record for your sales unless expressly agreed in writing.

6. Payments, Payouts & Fees

Payments and payouts are processed through Stripe, including Stripe Connect for connected accounts; by using them you agree to Stripe's applicable terms and connected account agreement. Platform, subscription, and transaction fees apply as described in your plan and at checkout and may change on notice. DISTRYB is not responsible for payment disputes between buyers and sellers and does not guarantee the performance of any counterparty.

7. Brokers & Affiliates

If you participate as a broker or affiliate, commissions are earned and paid according to the arrangements shown in the platform. Payouts may be held or withheld pending license verification, compliance review, or eligibility, and are subject to applicable state rules. You are responsible for your own tax reporting on amounts you receive, including any Form 1099 obligations.

8. Developer & API Access

If we issue you API keys or developer access, you are responsible for all activity under your keys and must keep them secret. You agree not to exceed published rate limits, resell or scrape the platform, or use the API to circumvent compliance controls. We may modify, rate-limit, or revoke API access at any time.

9. AI Features (PLUG)

PLUG and other AI features are provided for convenience and may produce inaccurate or incomplete output. They do not constitute legal, tax, accounting, or other professional advice, and you are responsible for independently verifying any output before relying on it. Do not enter secrets or credentials into PLUG.

10. Prohibited Activities

You may not use the platform to: sell alcohol to anyone under 21; circumvent three-tier or state registration requirements; misrepresent your licensing status; engage in fraudulent transactions; upload false or misleading product information; scrape or use automated means to access the platform except through an authorized API; or attempt to access accounts or data that are not yours.

11. Intellectual Property & Your Data

The DISTRYB platform, including its content, features, and functionality, is owned by Resilient Spirits LLC and protected by intellectual property laws; you may not copy, modify, distribute, or reverse engineer it without our written permission. The business data you upload remains yours, and you grant us the license needed to host, process, and display it in order to operate the platform and provide the service to you.

12. Disclaimers & Limitation of Liability

DISTRYB is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. (A) To the maximum extent permitted by law, Resilient Spirits LLC and its affiliates, directors, employees, agents, and licensors shall not be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages — including lost profits, goodwill, use, or data — arising out of or relating to the use of, or inability to use, the platform. (B) DISTRYB operates solely as a technology platform and does not manufacture, distribute, sell, or deliver beverage alcohol; we assume no liability for the acts, omissions, or negligence of any retailer, distributor, producer, courier, or driver, for any failure to verify the age or intoxication level of any consumer, for personal injury, property damage, or death resulting from the purchase, delivery, or consumption of alcohol obtained through the platform, for violations of federal, state, or local alcohol beverage control laws by platform users, or for any unauthorized access to information stored on our servers. (C) Our total aggregate liability shall not exceed the greater of the total fees you paid us for the platform in the twelve (12) months preceding the event giving rise to the claim, or one hundred U.S. dollars ($100). (D) These limitations apply whether the claim is based on contract, tort, negligence, strict liability, or any other basis, even if advised of the possibility of such damage and even if a remedy fails of its essential purpose. Nothing here excludes or limits liability for fraud, gross negligence, or intentional misconduct where prohibited by law.

13. Indemnification

You agree to indemnify and hold harmless Resilient Spirits LLC and its officers, directors, employees, and agents from any claims, liabilities, damages, and expenses arising out of your use of the platform, your violation of these Terms, or your violation of any applicable law or regulation, including beverage-alcohol and tax laws.

14. Governing Law

These Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-law provisions. Any dispute arising out of or relating to these Terms or your use of the platform shall be resolved exclusively in the state or federal courts located in Cook County, Illinois.

15. Changes to Terms

We reserve the right to modify these terms at any time. We will provide notice of significant changes by updating the date at the top of this page. Continued use of the platform after changes constitutes acceptance of the updated terms.
